1.1 These "User Terms of Use" (the "Terms") apply to the entire relationship between Anifie, Inc. (the "Company"), which provides and operates the internet community service "Anifie" (the "Service"), and any user of the Service (a "User") in connection with "The 1st VTuber Grand Prix" (the "Event") hosted by the Company. The Service includes not only the website, metaverse, and mobile application operated by the Company, but also the Discord server operated by the Company.
1.2 Users shall use the Service only upon agreeing to these Terms. A User is deemed to have agreed to these Terms upon using the Service.
1.3 Users shall use the Service in accordance with these Terms and any additional terms the Company separately establishes regarding the Service (collectively, "Individual Terms"). Where these Terms and any Individual Terms conflict, the Individual Terms prevail.
1.4 Where the content of recruitment guidelines, the website, announcements, or other materials the Company publishes regarding the Event conflicts with these Terms, these Terms prevail.
1.5 These Terms may be prepared in a Japanese version and an English version. Where there is any discrepancy between the language versions, the Japanese version prevails.
2.1 Only persons 18 years of age or older may use the Service. Persons under 18 may not use the Service.
2.2 The Company does not intend to obtain personal information from persons under 13, and does not permit persons under 13 to use the Service. If the Company discovers it has obtained information from a person under 13, it may promptly delete that information.
2.3 Residents of the following regions may not purchase a Digital Certificate (Section 5) on the Service.
2.4 The Company may take reasonable measures, including technical blocking based on IP address, with respect to access from the regions in the preceding paragraph.
2.5 If a User purchases a Digital Certificate (as defined in Section 5; the same applies below) in violation of these Terms, the Company may, at its discretion, void the voting score associated with that purchase (but bears no obligation to do so).
2.6 A person falling under the antisocial-forces provisions of Section 20 may not use the Service.
3.1 The Service is provided and operated by the Company for VTubers entering the Event ("Participants") and other users, through the Company's website for the Service (the "Website") and applications (including Discord, the metaverse, and mobile applications; the "Application").
3.2 In the Event, the Company does not run any program that provides prizes to Users through a lottery, sweepstakes, raffle, or other chance-based mechanism.
3.3 The Company may change the content of the Service without a User's consent.
3.4 To use certain parts of the Service, Users may be required to create a wallet (the "Wallet") through web3auth (https://web3auth.io/), a service provided by Torus Labs Pte Ltd.
4.1 Users shall create an account by a method the Company designates in order to use the Service. Each User may hold only one account.
4.2 Users are solely responsible for managing their account and Wallet, and shall not let a third party use them, nor lend, transfer, or sell them.
4.3 The only instance in which the Company receives money through the Service is the sale of Digital Certificates (Section 5).
5.1 The Service may sell a digital good referred to as a "Memory of Support" card or a similar name (a "Digital Certificate"). This is a digital certification created using blockchain technology (a so-called NFT or SBT, which in principle is programmed to be non-resellable) with respect to all or part of a motif image provided by a Participant, a support message entered by a User, a serial number, a date, and the like. Digital Certificates may be sold by the Company through a purchase page on the Service (the "Purchase Page").
5.2 In addition to serving as a User's memory of having supported a Participant "at that time, in that place," a Digital Certificate may provide the following functions.
5.3 Price, quantity, and sales period
5.4 Payment for Digital Certificates shall be made by credit card or another payment method designated by the Company.
5.5 Digital Certificates may be displayed at the Company's metaverse venue, on the Company's Discord server, and elsewhere on the Service. The Company bears no obligation to provide such display in any circumstance, including where it has ceased to provide the Service.
5.7 Prohibition on transfer — Users may not transfer, lend, or sell Digital Certificates to any third party.
5.8 No returns — Digital Certificates are digital goods; returns, exchanges, and cancellations are not accepted once provided.
5.9 Treatment of refunds — If a refund or chargeback (a forced refund through a card company or similar) occurs with respect to a Digital Certificate, the vote associated with that Digital Certificate (its count or value) may become void and may be excluded from the Event tally set out in Section 6. Eligibility to enter the VIP fan room based on that Digital Certificate may also be lost.
5.10 The Company gives no guarantee whatsoever of appreciation, retained asset value, or any other economic benefit with respect to Digital Certificates. Do not purchase Digital Certificates for speculative purposes. In principle, they are programmed to be non-resellable, and resale is also prohibited under these Terms.
6.1 The Event is planned to have one winner (the "Winner") and six finalists (the "Finalists"). This is, however, subject to change depending on how entries come together and other circumstances relating to the scores used in selection. Any such change is at the Company's complete discretion.
6.2 The Company selects the six Finalists based on multiple metrics, including Digital Certificate sales value. The Company has complete discretion over the selection criteria, including those metrics, and over the selection decision.
6.3 The Company may announce the Winner based on, among other things, the number of Digital Certificates, as decided by the Event's judge, Mr. John Oetjen.
6.4 The Company may publish scores, rankings, or other figures during the Event, but bears no obligation to do so. No objections to the results of the Event will be accepted. The Company may award prizes to the Winner or Finalists, but bears no obligation to do so.
6.5 Users shall not receive or demand money, goods, services, benefits, or other advantages in exchange for purchasing a Digital Certificate. Users shall not otherwise engage in misconduct in connection with the selection of the Winner or Finalists. If the Company discovers a User in breach of this section, the Company may take any measure it deems appropriate, including suspending that User's use of the Service.
7.1 If a Participant withdraws from the Event or is disqualified, the Company may stop new sales of Digital Certificates relating to that Participant. The Company bears no obligation to sell Digital Certificates relating to that Participant.
7.2 The Company bears no obligation to refund the price of Digital Certificates already sold, even where a Participant withdraws, is disqualified, or for any other reason.
8.1 The Company may open a category and channel (the "Discord Channel") within the Discord server the Company manages, for each Participant. The Company may also open a fan community for each Participant on its own website, in the metaverse, or elsewhere. The Company may also, as appropriate, synchronize messages on such a Discord server with messages in that fan community, so that Users and other users can exchange messages across multiple platforms.
8.2 Access to a Discord Channel may be limited, for example as follows, without limitation.
8.3 Users shall not engage in the following conduct on the Company's Discord server.
8.4 The Company has the authority to delete posts or remove Users, without warning, on the Company's Discord server.
8.5 Users shall not repost an invite link on a third-party website or media outlet without the Company's prior consent.
Users are prohibited from the following conduct in using the Service.
Where a User violates this, the Company may suspend that User's use of the Service, temporarily or permanently, without prior warning or notice to the User. The Company may also void the selection score associated with Digital Certificates that User purchased and exclude it from the Event tally.
10.1 Users of the Service may post information such as chat and messages (including, without limitation, messages, images, reviews, designs, ideas, a user's display name, attachments, comments, reactions, and video; "User Content") within the Service (including, without limitation, Discord, the Website, and the Application).
10.2 Users grant the Company, without time limitation, a royalty-free and unlimited license to reproduction rights, rights of public transmission, and other copyright and intellectual property rights in User Content they post within the Service, and shall not exercise moral rights. The Company's license also includes the right for the Company to sublicense the relevant copyright in User Content to third parties, for consideration or free of charge. The Company may use User Content free of charge without notice to Users, and may modify its content as necessary. For the avoidance of doubt, this license also includes permission for commercial use.
10.3 Users understand that a support message or other User Content attached to a Digital Certificate may be displayed on the image of the Digital Certificate, at the Company's metaverse venue, on the Company's Discord server, elsewhere in the Service, and on other websites. The Company does not guarantee that User Content will be displayed.
11.1 Intellectual property rights in images, video, trademarks, logos, text, programs, and the like related to the Service belong to the Company or to a third party (including Participants) that has licensed them to the Company, and no permission is granted to Users beyond conduct expressly permitted in these Terms. For example, except where approved by the Company (including, where a third party holds rights in the relevant information, obtaining that third party's approval through the Company), Users may not reproduce, transmit, publish, sell, or otherwise use any information obtained through use of the Service, nor cause a third party to do so.
12.1 Intellectual property rights relating to a Digital Certificate belong to the Company or to a third party (including Participants) that has licensed them to the Company. Sale or provision of a Digital Certificate does not mean an assignment of intellectual property rights relating to the motif image or other content. Except as expressly stated in Section 12.2, sale or provision of a Digital Certificate does not mean a license of these intellectual property rights.
12.2 A User holding a Digital Certificate may, while holding it, use the Digital Certificate only in the following ways and only to the extent the Service permits (the following methods may not always be provided by the Service).
12.3 Users may not reproduce, process, sell, publish, or otherwise use a Digital Certificate provided through the Service for commercial purposes. Even for personal purposes, Users may not reproduce, process, sell, publish, or otherwise use it except as separately and expressly permitted under these Terms. Users may not use a Digital Certificate in any manner not expressly permitted under these Terms (including modification, editing, merchandising, or derivative works).
12.4 Users shall not transfer a Digital Certificate to a third party.
13.1 The following uses of artificial intelligence may occur in connection with the Service. For the avoidance of doubt, these are permitted under Sections 10.2 and 11.2 of these Terms.
13.2 Artificial intelligence is not used to evaluate content in selecting the Event's Finalists or Winner.
The notice required under the Act on Specified Commercial Transactions relating to sales of Digital Certificates is posted on the Website's "Notice under the Act on Specified Commercial Transactions" page or a similarly named page. The location and name of that page may be changed without notice.
The Company does not guarantee that web content and the like provided in connection with the Service are free of computer viruses or other harmful elements.
16.1 The Company gives no warranty of any kind as to the content of the Service or the accuracy, usefulness, legality, safety, or copyright status of information a User obtains through the Service.
16.2 The Company bears no responsibility, whether direct or indirect, for any trouble, damage, or loss arising from use of the Service.
16.3 The Company bears no responsibility for any software or hardware accident, damage, or failure arising from use of the Service, nor for any cost of repair.
16.4 Where a dispute arises between a User and a third party arising from posts a User makes within the Service, the User shall resolve it at their own responsibility and expense.
16.5 The Company bears no responsibility for damages arising from a User's breach of these Terms.
16.6 The Company may change, suspend, or discontinue the structure, URLs, content, and other aspects of the Website and the Service without notice. Such a change, suspension, or discontinuation may make the Wallet, or NFTs, fungible tokens, or other digital assets stored in the Wallet, inaccessible, or may result in the loss of such digital assets. The Company bears no responsibility for any direct or indirect damage arising to a User from such a change, suspension, or discontinuation. Even where such a digital asset (including an NFT) is lost, the Company bears no obligation to supply or reissue that digital asset.
16.7 The Company does not guarantee that User Content or any other content will be displayed on the Service. Display may not occur, or may be interrupted or discontinued without notice. The Company does not warrant that the Website and the Service will be free of interruptions such as trouble.
16.8 The Company bears no responsibility for damages arising to a User from a specification change, failure, terms-of-service change, or other measure by YouTube, Discord, another third-party platform, or the Service.
16.9 The Company bears no responsibility for the content of streams Participants carry out in connection with the Event, or for a Participant's conduct.
16.10 Notwithstanding the preceding paragraphs, where a limitation of liability is not permitted by applicable law, the amount of damages the Company owes is capped at the total price the relevant User paid the Company for Digital Certificates.
17.1 If a User breaches these Terms or any Individual Terms, or causes damage to the Company through misconduct, the Company may claim damages from the User.
17.2 If a User causes damage to a third party through use of the Service, the User shall resolve it at their own responsibility, without imposing any responsibility on the Company.
17.3 The Company may intervene in a dispute between Users where the Company judges it necessary for the smooth operation of the Service.
18.1 The Company bears no responsibility for any interruption or delay of the Service, or for any loss or destruction of posted information or other information, due to a system failure, and bears no responsibility for damage arising therefrom. If unauthorized access occurs and causes damage to a User, the Company bears no responsibility.
19.1 The Company may temporarily interrupt or suspend all or part of the Service without notice due to regular or emergency maintenance, disaster, or other circumstances.
19.2 The Company bears no responsibility whatsoever for damage arising to a User from any delay, interruption, or suspension of the Service, for any reason.
19.3 The Company may suspend the Service at its own judgment without notice.
20.1 If a User falls under any of the following, they may not use the Service.
20.2 Users are prohibited from the following conduct.
20.3 If the Company determines that a User has violated the preceding two paragraphs, the Company may suspend that User's use of the Service without any notice or demand. The Company bears no responsibility for any damage arising to the User from such suspension.
21.1 For the Company's handling of personal information, please refer to the "Anifie, Inc. Privacy Policy" (https://www.anifie.com), which the Company establishes separately.
21.2 The purposes for which the Company uses information obtained in connection with use of the Service are as follows.
22.1 The Company may change these Terms. When the Company changes these Terms, it will give notice of the content of the revised Terms by posting within the Service. Where permitted by law, the revised Terms take immediate effect without prior posting or notice.
22.2 If a User continues to use the Service after the notice in the preceding paragraph, the User is deemed to have agreed to the revised Terms.
Users may not assign or transfer all or part of their rights or obligations under these Terms to a third party without the Company's prior written consent.
24.1 Users residing in Japan — The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute arising between the Company and a User.
24.2 Users residing outside Japan — Any dispute arising between the Company and a User shall be finally resolved by arbitration under the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The place of arbitration shall be Tokyo, and there shall be one arbitrator.
24.3 Waiver of class actions and class arbitration — Users shall bring claims against the Company only individually (limited to their own claim), and shall not bring a claim against the Company as a plaintiff or class member in a class action, class arbitration, or other representative proceeding.
24.4 The preceding three paragraphs do not exclude rights afforded to consumers under the law of the country or region where a User resides (including the right to choose a court of jurisdiction, the right to use small-claims procedures, and rights under mandatory statutory provisions).
24.5 If any provision of this section is found invalid or unenforceable, the remaining provisions remain unaffected.
These Terms are governed by the laws of Japan. This does not preclude the application of mandatory consumer-protection statutes of the country or region where a User resides.
These Terms take effect on July 26, 2026.
